K-Print OÜ

Terms & Conditions

Effective from 1 October 2026 These Terms apply to business customers who order through an account and pay by invoice.

Who we are and what these Terms cover

1.1 These Terms and Conditions (the "Terms") govern the sale of printed products and related services to business customers who place orders through our ordering portal (the "Portal").

1.2 The Portal is operated, and the products are sold, by K-Print OÜ, registry code 10459544, address Värvi 7, Tallinn 10621, Estonia, VAT number EE100068926 ("we", "us", "our").

1.3 You can contact us by e-mail at info@k-print.ee or by telephone on +372 565 4757.

1.4 The Portal is available to business customers only. By applying for an Account and by placing an Order you confirm that you are acting in the course of your trade, business or profession and that you are not a consumer.

1.5 If you place an Order on behalf of a company or other organisation, you confirm that you are authorised to represent that organisation. In that case the organisation, and not you personally, is the contracting party, and all rights and obligations under these Terms, including the obligation to pay for the Order, belong to the organisation.

1.6 Access to the Portal is granted at our discretion and only to customers for whom we have opened an Account.

Definitions

2.1 In these Terms the following definitions apply:

Account — the customer account opened for you, through which Orders are placed on the Portal.

Credit Limit — the maximum outstanding balance approved for your Account.

Customer ("you") — the legal person in whose name the Account is held.

Customer Purchase Order — a number, reference or document that you create in connection with an Order in your own internal purchasing or accounting system, for example so that it can be shown on our invoice.

Order — a request to purchase one or more products, submitted through the Portal or by accepting a Quotation.

Order Confirmation — our message by which we accept your Order (clause 6).

Preflight — the automated technical check described in clause 11.

Print Approval
— your confirmation that the Print File may be printed as submitted (clause 10.5).

Print File — a file, artwork, text, image or other content that you supply to us or create using the Portal's tools in order to have it printed.

Production Start — the moment defined in clause 13.3.

Quotation — a written quotation that we issue outside the Portal's standard range.

Technical Requirements — the technical specification for print files at https://www.kprint.ee/abi/, in the version in force at the time the Print File is submitted.

2.2 Written form. Where these Terms require written form or written confirmation, a form that can be reproduced in writing is sufficient: an e-mail, a message sent through the Portal, or an action taken in the Portal and recorded in the system, such as submitting an Order, ticking a consent box or approving a colour proof. A handwritten or digital signature is not required unless these Terms expressly require one.

Your Account and authorised users

3.1 To order against invoice you must apply for an Account. We may require credit information, annual reports or security, such as prepayment, a suretyship or a bank guarantee, before approving an application.

3.2 You must provide accurate information and keep it up to date. Tell us without delay if your business name, registry code, VAT number, address or billing address changes, if the company is sold, merges with another company or passes to a new owner, and if bankruptcy, reorganisation or enforcement proceedings are commenced against you.

3.3 You determine who your authorised users are and what rights they have. You are responsible for all Orders placed through your Account and for all use of the Account, regardless of whether it was approved internally within your organisation.

3.4 You must keep your login details confidential and tell us without delay at store@k-print.ee if you suspect that an unauthorised person has gained access to the Account.

3.5 We may assume that every Order placed through your Account is placed with your authority. We are not obliged to verify a user's internal authority, spending limit or approval. If you require an approval workflow, budget controls or restricted user rights, tell us in writing and we will configure these within the capabilities of the Portal. 3.6 We may suspend or close your Account in the cases set out in clause 28.

Products, prices and quotations

4.1 The products, specifications and prices displayed on the Portal are an invitation to place an Order. They do not constitute an offer, and the display of a product does not guarantee its availability.

4.2 Product descriptions, images, colour swatches and sample photographs are illustrative. A product's appearance on screen differs from the printed result (clause 17).

4.3 If we have agreed a price list or framework prices with you, these are displayed on the Portal through your Account. The price payable is the price displayed to you on the Portal when the Order is placed.

4.4 If the price displayed on the Portal differs from the agreed price list, the party noticing the difference shall inform the other party before Production Start. Clause 8 then applies.

4.5 A Quotation is valid until the date stated in it, or if no date is stated, for 30 days from its issue. If a Quotation agrees a term differently from these Terms, the Quotation prevails. In all other respects these Terms apply.

4.6 A Quotation is based on the specification provided to us and on the material prices in force on the date of issue. If you change the specification, or if the Print File submitted differs materially from the specification on which the Quotation was based, we may issue a revised quotation before commencing work.

Placing an Order and your own purchase terms

5.1 To place an Order you select the product and specifications, upload or create the Print File, enter the delivery details and, if you wish, your purchase order reference.

5.2 You must provide accurate and complete information. You are responsible for the consequences of information entered incorrectly, including an incorrect delivery address (clause 16.7).

5.3 Before you submit an Order, the Portal allows you to review and correct the information entered — specifications, quantity, delivery address and the uploaded Print File.

5.4 Purchase orders. Your purchase order number does not alter these Terms.

5.5 Your purchase terms. Your own purchase or procurement terms do not apply to the contract between us, regardless of whether they are set out in a purchase order, e-mail, delivery note or other document, attached to such a document or referred to in it. They apply only if we have approved them in a separate document signed by our authorised representative.

5.6 Any additional or differing term you propose, including anything entered in a free-text or notes field, becomes part of the contract only if we have confirmed it in writing.

5.7 The fact that we have received a purchase order, fulfilled an Order, handed over products or accepted payment does not mean that we have   agreed to your special terms.

Formation of the contract

6.1 By submitting an Order you make us an offer to purchase products on these Terms.

6.2 When an Order is submitted, the Portal automatically checks the Print File and the status of your Account. If the checks are passed, we send you an Order Confirmation and the contract is deemed concluded when it is sent.

6.3 Orders are processed automatically. The Order Confirmation is generated by the system without any member of our staff having separately reviewed your Order, specification or Print File. An Order Confirmation does not mean that we have reviewed or approved the content, design or suitability of your Print File. Our right to withdraw from an Order is set out in clause 7.

6.4 We retain records of each Order, specification and Print File as submitted. These are available to you in your Account and constitute the primary evidence of what was ordered and what was approved.

When we may withdraw from an Order or suspend performance

7.1 We may withdraw from an Order in whole or in part, or suspend its performance, if:

a) the product, specification, material or quantity ordered cannot be produced, or cannot be produced as configured;
b) the product is unavailable, including because of an interruption in material supply;
c) the Print File does not meet the Technical Requirements and you do not submit a corrected file in accordance with clause 9;
d) the Print File or the Order breaches clause 19;
e) the Order would take your outstanding balance above your Credit Limit, or any invoice on the Account is overdue;
f) your solvency deteriorates materially or any circumstance listed in clause 28.3 arises;
g) we reasonably suspect fraud, misuse of the Account or abuse of the Portal;
h) delivery to the address or country given is not possible or not permitted, or we do not offer it;
i) the Order resulted from an error described in clause 8;
j) we are prevented by a circumstance described in clause 24; or
k) we have required prepayment and it has not been received within the period stated in clause 15.11.

7.2 We will tell you without delay if we withdraw from an Order, and we will not invoice you for it.

7.3 If the withdrawal is based on clause 7.1(d), (e), (f) or (g), we may invoice for work already carried out and costs already incurred in accordance with clause 13.5.

7.4 If the specification ordered cannot be produced, we will contact you and offer the closest feasible alternative or withdraw from the Order. We will not change the specification without your agreement.

Errors on the Portal

8.1 We display products, specifications, lead times and prices carefully, but errors are possible.

8.2 If a product is displayed on the Portal at an incorrect price or with an incorrect specification, and the error is so obvious that a reasonable business customer would have recognised it, we are not obliged to supply the product on those terms. We will contact you before Production Start and you may choose whether to confirm the Order as corrected or to cancel it. We will not invoice for a cancelled Order.

8.3 We may correct the content, prices and specifications on the Portal at any time. A correction does not affect an Order already accepted, except as provided in clause 8.2.

8.4 We do not guarantee uninterrupted availability of the Portal and may suspend it temporarily for maintenance, updates or technical reasons.

Print Files: technical requirements

9.1 Print Files submitted must comply with the Technical Requirements at https://www.kprint.ee/abi/. The Technical Requirements form part of these Terms.

9.2 Where a product page states requirements specific to that product, those requirements apply in addition and, in the event of conflict, prevail over the general Technical Requirements.

9.3 We may update the Technical Requirements. The Technical Requirements that apply to your Order are those published at the time the Print File was submitted.

9.4 If a Print File does not meet the Technical Requirements, we may request a corrected file, offer to correct the file for a charge under clause 11.5, or withdraw from the Order under clause 7.1(c).

Print Files: your responsibility for content

10.1 You are responsible for the Print File and for all of its content. We print what you submit.

10.2 In particular, you are responsible for:
a) the correctness of the Print File as a whole and for it being the file you intend to have printed;
b) spelling, grammar, punctuation, hyphenation, capitalisation and translation;
c) names, titles, job titles, business names and contact details;
d) numbers, prices, dates, times, quantities, dimensions, codes, barcodes and QR codes in the Print File, and their destinations;
e) addresses, telephone numbers, e-mail addresses and web addresses;
f) images, illustrations, photographs, logos, trade marks, symbols and all other content;
g) the order, number and numbering of pages, and the order in which the panels of a folded product appear after folding;
h) the overall design, layout, typography and appearance;
i) whether the content complies with the law applicable to it, including advertising, labelling and mandatory information requirements; and
j) holding all rights and consents required to use the content (clause 19).

10.3 By submitting an Order you confirm that the Print File corresponds to what you want printed and that you have checked it.

10.4 Before submitting an Order you must check the Print File and all details of the Order — specification, material, dimensions, quantity, finishing and delivery address. Any preview shown on the Portal is an aid to checking and does not replace checking the file itself.

10.5 Submitting an Order constitutes your Print Approval: confirmation that the Print File may be printed as submitted.

10.6 We do not check the content of your Print File or assess its suitability for your purpose, unless you have separately ordered such a service and we have performed it.

10.7 If we notice something in a Print File that appears to be an error, we may contact you. We are not obliged to look for such things, and doing so on one occasion does not oblige us to do so on any other occasion or create any expectation that we will.

10.8 Where a product does not meet your expectations because of the content, design or preparation of your Print File, or because of instructions or materials you supplied, the product is not defective and we are not responsible for it.

Preflight and correction of Print Files

11.1 Print Files undergo an automated technical check (Preflight) which determines whether the file can be processed for production. Depending on the product, it checks for example whether the file opens and complies with the required file standard, whether the number and size of pages match the Order, whether bleed is present, whether fonts are embedded in the file, which colour space the file is in, and whether image resolution meets the required minimum.

11.2 Preflight does not assess the content of the Print File. It does not check text, names, numbers or dates, nor does it assess the content of images and design — for images, only technical parameters such as resolution and colour space are checked. You are responsible, in accordance with clause 10.3, for the submitted file being the one you want printed. Preflight is also unable to detect images whose resolution has been artificially increased.

11.3 Preflight prevents a technically faulty file from reaching production. A result of "passed" means that the file can be printed. It does not mean that anyone has reviewed the content of the file.

11.4 We do not provide proofreading, design review or content-checking services for Print Files unless otherwise agreed in writing.

11.5 Where we correct, adapt or repair a Print File at your request, or where corrections are needed because the file did not meet the Technical Requirements, we may charge for that work at our current rates or at a price agreed with you.

11.6 Where we have corrected or adapted a Print File, you must check and approve the corrected file before production. Approval of a corrected file or of a colour proof replaces the earlier Print Approval.

11.7 Colour. We produce on the basis of the ICC profiles stated in the Technical Requirements in force at the time the Print File was submitted. Unless you have separately agreed a colour proof with us, no claim may be made on the basis of colour balance or colour deviation. See also clause 17.

If you discover an error after placing an Order

12.1 If you discover an error in the Print File or the Order after submitting it, tell us without delay at store@k-print.ee, quoting the order number. A notice takes effect only when we have confirmed receipt of it.

12.2 Before Production Start we will stop the Order if this is possible, and you may cancel it or submit a corrected Print File; we may charge for work already carried out and costs already incurred in accordance with clause 13.5. After Production Start, production cannot be interrupted (clause 13.2); any reprint is a new Order at full price. After production is complete, no remedies apply in respect of an error originating in your Print File; we may, at our discretion and without obligation, offer a reprint on more favourable terms.

12.3 If you consider that we should have noticed the error. We do not undertake to review the content of Print Files and we do not do so, unless you have separately ordered such a service and we have performed it. The fact that an error would have been obvious to a person reading the file does not make us responsible for it.

12.4 If Preflight did not detect the error. Preflight is limited to the technical checks described in clause 11.1. A passed Preflight does not mean that the content is correct, and the fact that Preflight did not flag an error does not make us responsible for it.

Changing and cancelling an Order

13.1 You may request a change to an Order up to Production Start. We are not obliged to accept a change. A change takes effect only when we have confirmed it in writing.

13.2 After Production Start an Order cannot be changed or cancelled and the price is payable in full.

13.3 Production Start is the earliest of the following moments: the job being released to imposition, plate-making or the printing device; material being cut, ordered specifically for the Order or otherwise committed to it; or special tooling for the Order (such as a cutting die) being ordered or made. The moment of Production Start is determined on the basis of our production records.

13.4 You may cancel an Order up to Production Start by notifying us at store@k-print.ee and receiving our confirmation, subject to clause 13.5.

13.5 Where an Order is cancelled or changed, we may charge for:
a) work already properly carried out at your request, including file corrections, colour proofs, samples and mock-ups;
b) materials ordered or cut specifically for the Order which we cannot reasonably use elsewhere; and
c) special tooling ordered or made for the Order.

13.6 If you ask us to change an Order after Production Start and we agree to try, you bear all resulting costs, including the cost of work already produced, and the lead time starts again.

Prices, VAT and taxes

14.1 Prices are stated exclusive of VAT unless otherwise indicated. VAT is added at the applicable rate and is shown on the invoice and in the order total before the Order is submitted.

14.2 The price payable is the price in force at the time the Order was accepted, subject to clauses 8 and 17.2.

14.3 Delivery costs are shown separately before the Order is submitted, unless they are already included in the price.

14.4 The VAT treatment of an Order depends on several factors, including whether you have provided a valid VAT number, the country to which the products are delivered and whether the supply is treated as a supply of goods or of services. We do not treat all sales to businesses in other Member States as automatically exempt from VAT — an exemption or reverse charge applies only where the statutory conditions are met.

14.5 You are responsible for the accuracy of the VAT number, business status and delivery address you provide. If VAT, interest or penalties are assessed against us because the information you provided was incorrect or out of date, you must reimburse us.

14.6 Deliveries outside the European Union. Unless otherwise agreed in writing, prices do not include customs duties, import VAT, customs clearance fees or other charges levied in the destination country. You act as the importer and bear those charges.

Invoices, credit and payment

15.1 Payment is made by invoice. We set a Credit Limit for you when the Account is opened. We invoice after the goods have been dispatched; the
payment due date is stated on the invoice and follows from the payment terms agreed for your Account.

15.2 We may set, reduce, suspend or withdraw a Credit Limit at any time at our discretion, and may require prepayment, part payment or security before accepting further Orders. We will give you notice of this. We may put on hold an Order that would take your outstanding balance above your Credit Limit until payment is received or the limit is increased.

15.3 If you dispute an invoice or any line on it, tell us within 14 days of the invoice date, identifying the lines disputed and the reason. Lines not disputed are payable on the due date stated on the invoice.

15.4 If payment is not made by the due date, we may charge late payment interest at the statutory rate from the due date until payment, together with a fixed sum of EUR 40 per invoice towards recovery costs and any other reasonable recovery costs.

15.5 Payments received are applied first to costs, then to interest, then to the principal debt.

15.6 While any invoice is unpaid, we may suspend production and delivery of all your Orders and retain finished products and any of your materials in our possession until the debt has been paid in full.

15.7 If an invoice remains unpaid for more than 30 days, we may refer the debt to a collection agency and assign or pledge the claim. You bear the reasonable costs of recovery.

15.8 You may not withhold payment or set off any claim against amounts payable to us, unless we have acknowledged the claim in writing or it has been established in court. A complaint concerning part of a delivery does not entitle you to withhold payment for the remainder.

15.9 If completion of an Order is delayed because of you, we may invoice for the part of the work completed.

15.10 Invoices are issued in euros, unless otherwise agreed or unless prices are displayed on the Portal in another currency. You bear the bank and transfer charges on your side.

15.11 Where we have required prepayment, we issue a prepayment invoice when the Order is confirmed. If the prepayment is not received within 14 days, we may withdraw from the Order.

Production, dispatch and delivery

16.1 We distinguish three periods: production time — the time required to produce the Order; dispatch — the moment the finished Order is handed to the carrier or made available for collection; and transit time — the time the carrier takes to deliver. Any delivery estimate displayed is the sum of these.

16.2 Production time starts when the Order Confirmation is sent or, where we have required prepayment, when the prepayment is received. Clause 16.4 applies.

16.3 Production and delivery times are estimates based on normal conditions. They are not guaranteed deadlines unless a guaranteed deadline is expressly stated on the product page or in a Quotation.

16.4 Production and delivery times are extended by any delay caused by you, including where the Print File must be replaced or corrected, where you do not respond to our query, or where you do not approve a colour proof. In such a case we produce the Order at the next available production slot and inform you of the new delivery time.

16.5 Some Orders require, in addition to automated Preflight, a technical check by our prepress department, for example where the Order involves die-cutting, foil stamping, special colours, an unusual format or complex finishing. Such a check is technical and is limited to whether the file is feasible as the product selected. It does not include assessment of the content, text, design or suitability of the Print File and does not alter what is set out in clauses 10 and 11. This check is not carried out for repeat orders.

16.6 If such a check or any other circumstance causes the delivery time displayed on the Portal when the Order was placed to shift, we will tell you as soon as this becomes known to us and inform you of the new expected delivery time.

16.7 You are responsible for the delivery address you enter. If delivery fails, is returned or has to be redirected because the address was incorrect or incomplete, or because no recipient was available, we may charge the actual cost of sending the consignment again.

16.8 The risk of accidental loss or damage passes to you when the products are handed to the first carrier, when you receive them, or when you fail to collect them from the pick-up point at the agreed time.

16.9 Damage or loss in transit. If damage is visible on receipt of the goods, note it immediately on the carrier's delivery document. Report hidden damage to us within 7 days of receiving the goods. If a consignment has not arrived within 30 days of the expected delivery date, tell us. Keep the packaging and the products available for inspection and co-operate in bringing a claim against the carrier. Where the damage occurred in transit, we will bring a claim against the carrier and pass on to you the amount received from the carrier; our liability for transit damage is limited to that amount.

16.10 Products not delivered. If a consignment is returned to us, or if delivery is postponed at your request or for a reason attributable to you, we store the products for 30 days. After that we may charge a reasonable
storage fee. If the products have been with us for more than 90 days and we have notified you in writing, we may dispose of them. Disposal does not reduce your debt. We do not sell products bearing your content or trade marks to any third party.

16.11 We may make partial deliveries of an Order where this is reasonable, and may invoice each delivery when it is dispatched.

Normal variations and permitted tolerances

17.1 Printing is an industrial process. Normal variations and tolerances occur in printing, in materials and in finishing. These arise, among other things, from the fact that screens display colour differently from print, that materials differ between production batches, and that shifts occur in cutting, folding, creasing and binding. Such variations form part of the agreed specification and are not defects. Unless you have separately agreed a colour proof with us, you bear the risk of colour balance (clause 11.7).

17.2 Quantity. Exact run lengths cannot be guaranteed in print production. The permitted over- and under-delivery is:
a) games — up to 10% of the quantity ordered;
b) packaging and custom products — up to 5% of the quantity ordered;
c) all other (standard) products — up to 2% of the quantity ordered.

Where the quantity delivered falls within these limits, the Order is deemed properly fulfilled. We invoice for the quantity actually delivered at the agreed unit price, whether it is below or above the quantity ordered.

17.3 Quality within a run. Unless an additional quality requirement has been agreed, a delivery may include items that do not conform to the Order or are faulty, up to 0.5% of the quantity delivered or 2 copies, whichever is greater.

Inspection, complaints and defects

18.1 You must inspect the products immediately on receipt.

18.2 You must notify us within 7 days of delivery of any defect detectable on inspection, and, for any other defect, within 14 days of the day on which you discovered it or should reasonably have discovered it. The defect must be described with sufficient precision. If you do not notify us as set out above, you may not rely on that defect.

18.3 Please send complaints to store@k-print.ee, quoting the order number. Describe what is wrong and how many products are affected, attach clear photographs, and quote the batch or job number if one is shown on the packaging.

18.4 We may ask you to send samples of the faulty products, or to return the whole delivery, so that we can inspect it. If the complaint is justified, we bear the cost of return. Please do not dispose of the products before we have replied, as this may prevent us from assessing the complaint.

18.5 Either party may require a joint inspection where the value or quantity in dispute justifies it. A written record of the inspection will be made.

18.6 We will respond to a complaint within 5 working days of receiving it, or, where a product or sample must be inspected in order to assess the defect, within 5 working days of receiving that item.

18.7 Where a product is defective and we are responsible, we will, at our choice, reprint the faulty part, reduce the price or refund the amount paid for the faulty products. We may ask for the faulty products to be returned or destroyed.

18.8 A product is not defective where the issue arises from your Print File, your instructions or your materials, or falls within the variations described in clause 17. This does not affect our liability where we have not properly performed a separately agreed checking or proofing service, or have otherwise breached the contract.

18.9 You must give us a reasonable opportunity to remedy a defect before ordering a reprint elsewhere. If you do not, we will not reimburse the cost of that reprint.

Intellectual property, your content and prohibited content

19.1 All rights in the Print File remain yours. You grant us a non-exclusive licence to store, process, copy, technically adapt, transmit to subcontractors and reproduce the Print File to the extent necessary to fulfil the Order and to comply with our legal obligations.

19.2 We use the Print File solely to fulfil your Order, to provide the services ordered and where required by law. We do not use it for marketing, portfolio or reference purposes without your written consent.

19.3 We retain ownership of everything created or acquired in the course of production that is not your content: printing plates, cutting dies, die formes, imposition files, colour profiles, prepress derivatives, special tooling, and our own design work, templates and Portal content.

19.4 Materials you hand over to us for production remain your property. We return unused materials on completion of the work, except in the case described in clause 15.7.

19.5 We take reasonable care of materials entrusted to us. However, we do not guarantee that they will retain their original condition, and we are not
liable for changes in quality that are inherent in the material or arise from the printing process. Our liability for such materials is limited in accordance with clause 23.

19.6 You confirm that you hold all rights and permissions required to reproduce the content of the Print File, including in respect of photographs, illustrations, artwork, text, logos, trade marks and designs, that font licences permit their embedding and commercial use, and that you hold the consents of any identifiable persons appearing in the content.

19.7 We are not obliged to check whether you hold those rights, and we do not do so.

19.8 Prohibited content. You must not submit a Print File that:
a) infringes a third party’s copyright, trade mark, design right or any other intellectual property right;
b) is counterfeit or intended to imitate another person's goods, packaging or documents;
c) unlawfully reproduces or imitates official documents, forms, certificates, seals or state symbols;
d) is defamatory or incites hatred, violence or discrimination;
e) is unlawful or is intended for an unlawful purpose;
f) contains sexual content involving minors or any other content whose production or distribution is a criminal offence; or
g) contains personal data that you are not entitled to have processed for the purpose of fulfilling the Order.

19.9 We may refuse to produce an Order or suspend production if we have reasonable grounds to believe that clause 19.8 has been breached, or if we receive a credible notice to that effect from a rights holder or an authority. Where it is lawful and practicable to do so, we will tell you and give you an opportunity to respond. If we suspend production on this basis and the concern proves unfounded, we will resume production or refund any amount paid.

19.10 You are liable to indemnify us against all claims, damages, costs and reasonable legal expenses arising from your breach of clause 19.6 or 19.8.

19.11 If you believe that a product we have printed infringes your rights, contact us at info@k-print.ee with details of the right you are relying on and the alleged infringement, together with your contact details.

Retention and deletion of Print Files

20.1 We retain Print Files for one year after production so that we can handle complaints and fulfil repeat orders. After that we delete them.

20.2 You should keep your own copy of every Print File. We retain files for the period stated in clause 20.1, but this does not replace your own backup. Our liability for the loss of a file is limited as set out in clause 23.

20.3 We may delete a Print File earlier if the Order is cancelled, if the file breaches clause 19.8 or if required by law.

20.4 Information on the processing of personal data contained in Print Files is set out in our privacy policy.

Legal deposit copies

21.1 Under the Estonian Legal Deposit Copy Act, legal deposit copies of publications issued in Estonia must be provided to the National Library of Estonia. In certain cases the obligation also covers the print file.

21.2 The obligation rests with the publisher. In relation to your Order, the publisher is normally you and not us. You are responsible for assessing whether the obligation applies to your publication and for complying with it.

21.3 At your request we will produce legal deposit copies in addition to the quantity ordered, send them to the prescribed recipients and, where required, transmit th

Confidentiality

22.1 Each party must keep confidential any non-public information received from the other party in connection with an Order, and must use it solely for the performance of the contract.

22.2 This does not apply to information that is or becomes public without breach of that obligation, that the recipient already held without a duty of confidence, or that must be disclosed under the law or as required by a competent authority.

Our liability

23.1 We do not exclude or limit our liability for damage caused intentionally or through gross negligence, or in any other respect in which the law does not permit liability to be excluded or limited.

23.2 We are responsible for producing the products in accordance with the Order and these Terms.

23.3 Subject to clause 23.1, we are not liable for indirect loss, loss of profit, loss of revenue, loss of anticipated savings, business interruption, damage to
reputation or customer relationships, wasted management and staff time, loss of data, or claims brought against you by third parties.

23.4 Subject to clause 23.1, our total liability in connection with an Order is limited to the amount paid for that Order.

23.5 Our liability for the loss of or damage to materials entrusted to us is limited to the amount paid for the Order for which the materials were intended. You must tell us in advance if the materials are of unusually high value; higher liability applies only if we have agreed to it in writing.

23.6 We are not liable for obligations arising from legal relationships between you and third parties.

23.7 We are not liable for delays caused by a carrier beyond what is set out in clause 16, or for delays caused by you.

Force majeure

24.1 We are not liable for any failure or delay in performing an obligation where it was caused by a circumstance that we could not influence and which we could not reasonably have been expected to take into account, avoid or overcome, including acts of war and civil unrest; fire, flood, storm or other natural disaster; epidemic and measures imposed in connection with it; cyber-attack; failure of public utility or communications networks; embargoes, sanctions and changes in legislation; general strikes and industrial action outside our own workforce; and the inability of suppliers or carriers to perform where caused by a circumstance of the same kind.

24.2 Ordinary operational disruptions that we are able to influence, including breakdowns of our own equipment and ordinary shortages of labour, are not force majeure.

24.3 Performance of our obligations is suspended for the duration of the event. If the impediment lasts so long that performance of the contract is no longer reasonable, either party may terminate the affected Order by written notice. In that case you pay for work properly completed and delivered, and neither party is liable to the other for damage arising from such termination.

Personal data

25.1 We process the contact and account details of your authorised users and data relating to Orders in order to administer the Account, accept and fulfil Orders, issue invoices and collect payment, provide customer service, handle complaints, comply with accounting and tax obligations, and prevent fraud. Further information is set out in our privacy policy.

25.2 Each party acts as an independent controller in respect of the personal data it processes for its own purposes under these Terms.

25.3 Where a Print File contains personal data for which you are the controller, we process it only to the extent necessary to fulfil the Order and delete it in accordance with clause 20.

Use of the Portal

26.1 The Portal and its content — text, images, design, software, trade marks and logos — belong to us or to our licensors. You may use the Portal to browse products and place Orders. The content of the Portal may not be copied or published without our written consent.

26.2 You must not misuse the Portal, including by attempting to gain unauthorised access, uploading malware, placing fraudulent or automatically generated Orders, collecting data from it by automated means, disrupting its operation, or using it to store or transmit content unrelated to an Order.

26.3 If clause 26.2 is breached, we may suspend or terminate access to the Portal or any part of it.

Notices, records and language

27.1 We communicate with you by e-mail and through the Portal. You agree that these are valid means of giving notice, and you must keep the contact details on your Account up to date.

27.2 Notices to us must be sent to store@k-print.ee and take effect when receipt is confirmed.

27.3 Our records of Orders, Print Files as submitted, Preflight results, approvals, colour proofs and communications constitute the primary evidence of the content of the contract and of what was ordered and approved.

27.4 In the event of conflict between language versions of these Terms, the Estonian version prevails.

Suspension and closure of the Account

28.1 Either party may close the Account by giving written notice to the other. Closure does not affect Orders already accepted, to which these Terms continue to apply.

28.2 We may suspend the Account or performance of an Order, or close the Account with immediate effect, if you are in material breach of these Terms, if any invoice is unpaid, or if any circumstance listed in clause 28.3 arises.

28.3 Those circumstances are: your insolvency; the commencement of bankruptcy, reorganisation, liquidation or equivalent proceedings in relation to you; the appointment of an administrator, liquidator or trustee in bankruptcy; a general suspension of payments; or the cessation of a substantial part of your business.

28.4 On closure of the Account, all unpaid invoices become immediately due and clauses 14 to 23, 27, 30 and 31 remain in force.

Changes to these Terms

29.1 We may change these Terms. The version that applies to your Order is the one published on the Portal when the Order is placed. Each version states the date from which it applies.

29.2 We will give at least 30 days' notice of material changes affecting users of the Account.

29.3 Changes do not have retroactive effect on Orders already accepted. 30. Governing law and disputes

30.1 These Terms and any contract concluded under them are governed by Estonian law. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.

30.2 Disputes arising out of these Terms or any contract concluded under them are subject to the exclusive jurisdiction of the Estonian courts, and the court of first instance is Harju County Court.

30.3 Please contact us before commencing court proceedings so that we can try to resolve the matter amicably.

Other provisions

31.1 If any provision is invalid, the remainder of these Terms continues in force and the invalid provision is replaced by the applicable statutory rule.

31.2 A failure or delay in exercising a right does not constitute a waiver of that right.

31.3 Order of precedence. In the event of conflict, the documents listed below prevail in the order in which they appear:
a) a separate written agreement signed by the parties;
b) an accepted Quotation;
c) an agreed price list;
d) the product page for the product ordered;
e) these Terms;
f) the Technical Requirements.

Your own purchase terms do not apply, as provided in clause 5.5.

31.4 You may not assign or transfer your rights or obligations without our written consent. We may assign our claims and use subcontractors in production without this affecting our obligations to you.
